Biography
Warren Goldenberg co-chairs the firm's Intellectual Property & Technology Team. Admitted to practice in Ohio, he maintains offices in Akron and Cleveland, but is currently practicing law part-time so that he can serve as the startup CEO for early stage biomedical companies. Warren is currently the startup CEO of Fluence Therapeutics, Inc., a spinoff of University Hospitals Case Medical Center commercializing photodynamic therapy technology for psoriasis.
From 2006 to 2009, Warren served as the startup CEO of CardioInsight Technologies, a spinoff of Case Western Reserve Univeristy commercializing electrocardiographic imaging technology. To avoid any conflict of interest, Hahn Loeser will not provide legal services for any company while Warren is both an executive officer at the company and a partner at Hahn Loeser.
Warren has practiced corporate law for over 25 years, working for clients ranging from multinational corporations to start-ups and emerging businesses. He has extensive experience in mergers and acquisitions; debt and equity financings; technology transfer and commercialization; clinical trials; financial restructurings; joint ventures and strategic alliances; licensing and distribution agreements; entity formation; shareholder disputes; and stock option and restricted stock plans. He represents entrepreneurial high-tech companies throughout the region, focusing primarily on the biomedical, alternative envery, information technology and materials industries.
Warren was instrumental in the formation of Imalux Corp. (formerly Optical Coherence Technologies, Inc.), including the location and formation of the company in Cleveland, providing management services to the company until it could afford full-time management, recruiting management and securing venture capital financing. Imalux is commercializing a new imaging technology developed at the Institute of Applied Physics of the Russian Academy of Sciences, and Imalux is one of the first deals in the world where a Russian research institute and inventors took equity stakes in a U.S. start-up.
Warren is listed in the 2007-11 editions of The Best Lawyers in America in the category of Venture Capital Law, and in the 2004, 2005 & 2007 editions of Ohio Super Lawyers. Warren is AV Rated by Martindale-Hubbell, its highest available rating for legal ability and professional ethics.
